NEW YORK, NY – BMI Mergers & Acquisitions acted as exclusive M&A Advisor to Tomco Mechanical Corp., a leading mechanical services contractor, in connection with its sale to The Arcticom Group, a portfolio company of A&M Capital Partners. The transaction closed on May 31, 2022.
Westbury-based Tomco Mechanical has a leading reputation for providing refrigeration and HVAC repair, maintenance, installation, and remodeling services to a demanding customer base of regional and national grocers and wholesalers, and other commercial customers in the greater New York City tri-state region. Tomco was founded 50 years ago in Brooklyn by Tony and Tina Martinelli and is led by their son, John Martinelli. John Martinelli will serve as Tomco’s President, and the Tomco senior management team will remain with the company.
With the acquisition of Tomco Mechanical, The Arcticom Group expands its presence in the northeastern United States. Arcticom is a leading provider of mechanical services for mission-critical refrigeration and HVAC systems. Based in Walnut Creek, CA, Arcticom serves a diversified customer base of grocery and other commercial clients in expanding markets across the United States and Canada. With the acquisition of Tomco, The Arcticom Group has 1,110 full-time employees, including over 835 trained/certified technicians experienced in all phases of mechanical services.
“We are incredibly excited to partner with John Martinelli and the Tomco Mechanical team to expand our North American footprint and deliver the same best-in-class services to our national and regional customers,” said Arcticom CEO Jim Pape. John Martinelli said, “Joining forces with The Arcticom Group will give us strength to grow and access to resources to better serve our customers. Arcticom shares the same culture, values, and strategic vision that we have at Tomco.”
In advising Tomco, BMI was able to leverage its extensive contacts and expertise in the mechanical contracting space. BMI’s deal team worked closely with Tomco management in developing deal marketing materials, communicating with potential buyers, coordinating diligence, leading negotiations, and overseeing process strategy while maintaining confidentiality and minimizing disruption to the business.
